1. Agreement to Terms

Welcome to MetaClip ("Company," "we," "our," "us"). By accessing or using metaclip.app (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

MetaClip provides a marketplace platform that connects game developers with content creators for marketing campaigns. These Terms govern your use of our Platform and services.

2. Eligibility

To use MetaClip, you must:

• Be at least 18 years old or the age of majority in your jurisdiction
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Platform under applicable laws
• Provide accurate and complete registration information
• Maintain the security of your account credentials

3. User Accounts

3.1 Account Types

MetaClip offers two types of accounts:

• Content Creator Accounts: For individuals who create and submit gaming content
• Game Developer Accounts: For companies or individuals who create marketing campaigns

3.2 Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring all information provided is accurate and current

4. Platform Services

4.1 For Content Creators

• Browse and participate in marketing campaigns
• Submit gaming clips from connected social media accounts (YouTube, TikTok, Instagram)
• Earn compensation for approved submissions
• Track performance metrics and earnings
• Request payouts through Stripe Connect

4.2 For Game Developers

• Create and manage marketing campaigns
• Set campaign parameters, budgets, and requirements
• Review and approve content submissions
• Track campaign performance and metrics
• Process payments to content creators

5. Content Submissions

5.1 Content Requirements

All submitted content must:

• Meet the specific requirements of the campaign
• Be original or properly licensed
• Not infringe on any third-party rights
• Comply with platform policies of YouTube, TikTok, and Instagram
• Not contain illegal, harmful, or offensive material

5.2 Content License

By submitting content through MetaClip, you grant the campaign creator a non-exclusive, worldwide, royalty-free license to use, display, and promote the submitted content for marketing purposes. You retain ownership of your content.

6. Payments and Fees

6.1 Platform Fees

MetaClip charges a service fee on transactions processed through the Platform. The current fee structure will be communicated during campaign creation and payout processing.

6.2 Payment Processing

All payments are processed through Stripe. By using our payment services, you agree to Stripe's terms and conditions. MetaClip is not responsible for any issues with payment processing handled by third-party providers.

6.3 Payout Thresholds

Content creators must meet minimum payout thresholds to request withdrawals. Current thresholds and processing times are displayed in your wallet dashboard.

6.4 Taxes

You are responsible for all taxes associated with your use of the Platform. We may be required to collect tax information for reporting purposes.

7. Prohibited Activities

You may not:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Submit fraudulent or misleading information
• Manipulate metrics or engagement data
• Use automated tools or bots to interact with the Platform
• Attempt to circumvent security measures
• Harass, abuse, or harm other users
• Upload viruses or malicious code
• Resell or transfer your account
• Engage in any activity that disrupts the Platform

8. Social Media Integration

MetaClip integrates with YouTube, TikTok, and Instagram to track content performance. By connecting your social media accounts:

• You authorize us to access your public content and analytics data
• You agree to comply with each platform's terms of service
• You understand that we track video performance for campaign verification
• You can disconnect your accounts at any time through your settings

9. Intellectual Property

9.1 Platform IP

The Platform, including all content, features, and functionality, is owned by MetaClip and is protected by copyright, trademark, and other intellectual property laws.

9.2 User Content

You retain all rights to your submitted content. However, you represent and warrant that you have all necessary rights to submit the content and grant the licenses described in these Terms.

10. Termination

We reserve the right to suspend or terminate your account at any time for:

• Violation of these Terms
• Fraudulent or illegal activity
• Repeated violations of campaign guidelines
• Extended periods of inactivity
• Any reason at our sole discretion

You may terminate your account at any time through your account settings. Upon termination, you forfeit any pending payments below the minimum payout threshold.

11. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE:

• Uninterrupted or error-free operation
• Accuracy or reliability of content
• That defects will be corrected
• Success of any campaign or submission
• Specific earnings or results

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, METACLIP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE PAST 12 MONTHS, OR £100, WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify and hold harmless MetaClip, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any third-party rights
• Content you submit to the Platform

14. Dispute Resolution

14.1 Informal Resolution

Before filing a formal claim, you agree to contact us to attempt to resolve the dispute informally by emailing support@metaclip.app.

14.2 Arbitration

Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

14.3 Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive your right to participate in class actions or class-wide arbitration.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after changes constitutes acceptance of the modified Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where MetaClip is incorporated, without regard to its conflict of law provisions.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

19. Entire Agreement
